1. Ownership of Content

All photographs, images, videos, graphics, text, logos, designs, and any other materials (collectively, the “Content”) produced, displayed, or made available by JAP PHOTOS are and remain the exclusive property of JAP PHOTOS unless otherwise explicitly agreed in writing. The Content is protected under applicable copyright, trademark, and intellectual property laws in Canada and internationally.

2. Copyright and Intellectual Property Rights

JAP PHOTOS retains full copyright ownership of all images created. No transfer of copyright shall occur unless expressly agreed to in a signed written agreement. Any unauthorized use, reproduction, modification, distribution, or publication of the Content without prior written consent is strictly prohibited and may result in legal action.

3. License of Use

Upon full payment, clients are granted a limited, non-exclusive, non-transferable license to use the delivered images. Unless otherwise stated in writing:

Personal photography clients may use images for private, non-commercial purposes. Commercial use, resale, publication, or advertising requires the purchase of additional licensing rights. Images may not be altered, edited, or manipulated without prior written consent from JAP PHOTOS.

4. Client Responsibilities

Clients agree to:

Obtain all necessary permissions for locations, props, and individuals included in the photography session. Ensure that any requested use of images complies with applicable laws and regulations. Not misrepresent, misuse, or distort the images in a way that harms the reputation of JAP PHOTOS.

5. Model Release and Usage Rights

Unless otherwise agreed in writing, the client grants JAP PHOTOS the irrevocable and unrestricted right to use and publish photographs taken during sessions for portfolio, marketing, promotional, editorial, and commercial purposes. Clients who wish to restrict such usage must provide written notice prior to the photography session, and additional fees may apply.

6. Third-Party Use

No third party, including vendors, partners, media outlets, or other service providers, may use the images without obtaining a separate license or written authorization from JAP PHOTOS. Sharing images with third parties does not transfer usage rights.

7. Payment Terms and Delivery

All services must be paid in accordance with the agreed terms. JAP PHOTOS reserves the right to withhold delivery of images until full payment has been received. Deposits are non-refundable unless otherwise stated.

8. Limitation of Liability

JAP PHOTOS will make every reasonable effort to provide high-quality photographic services. However:

JAP PHOTOS shall not be held liable for any indirect, incidental, or consequential damages. In the unlikely event of equipment failure, data loss, or unforeseen circumstances, liability shall be limited to the amount paid for the services.

JAP PHOTOS is not responsible for conditions beyond its control, including weather, venue restrictions, or interference from guests or third parties.

9. Archiving and File Retention

JAP PHOTOS is not obligated to store or archive digital files indefinitely. Clients are responsible for backing up all delivered images. 

JAP PHOTOS may delete files after a reasonable period without notice.

10. Website and Digital Content Disclaimer

All Content displayed on JAP PHOTOS websites or platforms is provided for informational and promotional purposes only. While every effort is made to ensure accuracy, JAP PHOTOS makes no warranties regarding completeness, reliability, or availability.

11. Privacy and Personal Data

JAP PHOTOS respects client privacy and will handle personal information in accordance with applicable privacy laws. Personal data collected will be used solely for communication, service delivery, and business operations, and will not be sold or shared with third parties without consent, except where required by law.

12. Indemnification

Clients agree to indemnify and hold harmless JAP PHOTOS from any claims, damages, liabilities, or expenses arising from the misuse of images or breach of this agreement.

13. Governing Law

This Legal Notice and any disputes arising from services provided by JAP PHOTOS shall be governed by and interpreted in accordance with the laws of the Province of Quebec and the applicable laws of Canada.

14. Amendments

JAP PHOTOS reserves the right to modify or update this Legal Notice at any time without prior notice. Continued use of services constitutes acceptance of the revised terms.
